Adviser: Withhold votes for FedEx board

SEP. 11 6:05 P.M. ET Proxy Governance Inc. recommended Monday that shareholders withhold their votes for five board nominees who are on the FedEx Corp. compensation committee, saying Chief Executive Frederick W. Smith's pay is excessive compared with that of his peers. The shareholder advisory firm compared Smith's compensation with that of CEOs at 20 other companies, including rival United Parcel Service Inc., Union Pacific Corp., Yahoo Inc. and McDonald's Corp.

Proxy Governance also said that the compensation for Smith, who is also chairman and president, is high given FedEx's financial performance compared with its peers.

The firm suggests that at FedEx's annual meeting on Sept. 25, shareholders withhold their votes for nominees who have served on the compensation committee for the past three years. Those nominees are James L. Barksdale, August A. Busch IV, Philip Greer, Charles T. Manatt and Paul S. Walsh.

personally i don't give a crap what he makes...as long as he keeps the dam mail contract...keeps hiring pilots..expanding around the world...A380s..and gives us a dam contract....my 2 cents

You should care.
If he's only willing to give up UPS plus a nickel, why should he get what the UPS CEO makes times two?!?! He may be a visionary, but the compensation of our CEO and VP's is way out of line in comparison to our company's profits.

not only do i not care but with 23 years till i turn age 60 i hope fred lives to be 102..ask the united pilots how they like a new CEO coming in every 2 weeks..trashing their company and then leaving with gazillions...we need a healthy CEO and if he makes a lot of cash..so be it..he built this place anyway

I am not saying I want Fred to leave...
Nor would he leave if he only got two cookies instead of three...
All I'm saying is that I agree with the analysis that the FDX Board compensation committee is overcompensating the Execs, and not tying their compensation enough to stock performance.
Besides, Fred's ego wouldn't let him leave if he wanted to!!!:)

I must disagree. I want FDX to pay its execs very well. ( I want them to pay us well too) None of us can complain about the Company's profitabilty.

In some people's eyes Fred S. is a M.F er.
That maybe true (I have never met the man personally) but he is OUR M.F er and quite frankly I am glad we have him.

That being said, his employees deserve a good piece of the Pie.

Been here 16+ years and have met him twice. I was blown away both times. It was amazing what the man knew about the little sh1t that goes on around here. And do you really think he cares what he makes for a salary at FedEx?

i got to meet him once at SALSA in mem(restaurant)...he sat down with me and my amwest buddy with his wife....very nice man and his wife was pleasant as well...a huge visionary..talked about all kinds of things inbetween his fifteen cell phone calls...i think he is testing us here...act like businessmen or continue to act like idiots(voting everything down)...hopefully we will be smart on this one...
