If AF starts the low-cost spinoff they seem to want and transfer some long haul flying to it, will that have an impact on our JV ratios? Will the bring Delta back into compliance if AF decreases their ASM by shifting it to this new low-cost carrier? Or will it still count against AF as it is a subsidiary of AF/KLM?

Their plan has been a inter Europe low cost carrier. No trans Atlantic ever mentioned. I believe the company is either in compliance or within one flight. They have been above 48% for the last year. 48.5 is the compliance limit. There were several months where they were above that. There should be a scope update on the Dalpa website soon.
If AF started a new operation and shifted Atlantic flights to that operation it would put the company into compliance with just one route shift if the new airline was not in the JV.

I think the JV agreement probably has an alter-ego clause to prevent either company from circumventing the JV and putting it in danger. This is a complete guess but JVs in any industry have outlines for controlling actions that might threaten the venture.

He was saying if it was not included in the JV then it wouldn't matter. I don't care how much a foreign airline wants to fly to the US (except the duel subsidized ME3s or scab of convenience NAI types) the issue WRT our JV scope is airlines within our JV. If Lufthansa adds 10 flights tomorrow, the Delta PWA isn't effected because they're not in the JV. Same thing for an AF spin off, provided they aren't in it either I would assume.

You are correct. Delta is not going to allow AF to reap 100% of the profits of a subsidiary, and then share the profits on the remaining original flying. JVs have termination clauses for stuff like that.

AH yes Dharma!!! Still advocating for management are we??? And advocating that we pilots be passive recipients of managements will..How nice! Since they will have us receive the three traditions of the British Navy as quoted by Churchill minus the Rum of course... A Georgia management tradition for the worker...Hummmm.
