Team Frontier,

Today, we announced that we will not be moving forward with our merger with Spirit Airlines. While this is not the outcome we had hoped for, we have never been more confident in our prospects as a standalone company than we are today. Our business is strong and our future is bright – we are just getting started and are poised for significant growth.



Over the past few months, we have taken a disciplined approach to negotiating with Spirit. Our Board was focused on offering the appropriate value for Spirit, while at the same time prioritizing the best interest of Frontier. As the bidding war with JetBlue continued, our Board felt it was in the best interest of the Company and all its stakeholders to not overpay for Spirit.



As we continue to see a rebound in leisure travel, Frontier remains America’s lowest-fare, lowest-cost airline. We have a robust order book, the youngest, most fuel-efficient fleet, and a strong balance sheet. We have a proven ability to capture growth opportunities in any market size and competitive environment. And we’re not wasting any time: today, we launched a promotion putting 1 million seats on sale with fares starting at $19. No one is as cheap as Frontier and we’re demonstrating our commitment to Low Fares Done Right.



We’re also confident that there has never been a better time to be part of Team Frontier. With the leisure segment growing, we’ll continue to expand capacity and add new routes as a standalone airline, creating additional jobs. We have the best team in the industry and we’re focused on continuing to expand opportunities for Team Frontier and future employees.



As we look toward the future, below are just a few reasons I’m so excited for what’s ahead:


  • We are gaining share in the growing leisure segment. As an ultra-low cost leader, we are well positioned to capitalize on leisure demand as it returns and continues to build. With JetBlue seeking to convert Spirit Airlines into a high-cost airline, Frontier will be unmatched as the ultra-low-cost leader.

  • We are expanding America’s youngest and most-modern fleet. As a standalone carrier, we fly the youngest, most modern and most fuel-efficient fleet of any U.S. carrier. From a fleet of more than 100 aircraft today, we have a robust order book of 244 aircraft to support our continued growth. Importantly, our average fleet age of four years enables us to burn less fuel, saving our customers money and reducing our carbon footprint.

  • We are in a strong financial position. Our industry-leading balance sheet creates a catalyst for future growth. We will continue to focus on delivering profitability and generating cash while maintaining flexibility to capitalize on growth opportunities like expanding our fleet, team and network.


We’ll be announcing our second quarter financial results this afternoon and holding our investor conference call at 4:30 PM ET – you can tune in or listen to a replay at https://ir.flyfrontier.com/ to hear about our performance this quarter and the progress we’re making.

But didn't he say Jetblue/spirit would never revive DOJ approval? He just admitted here that it most likely will.
