Section 3 COMPENSATION Pay Scale Current pay tables frozen until 12/31/2017 with a 1% yearly pay increase beginning on 1/1/2018 through 1/1/2024. Elimination of Section 3.P. Industry Average Index. Signing Bonus Captains on the Envoy seniority list as of date of signing who meet the eligibility criteria will receive $12,500. First Officers on the Envoy seniority list as of date of signing who meet the eligibility criteria will receive $7,500. Additional/Supplemental Bonus First Officers on the Envoy seniority list as of date of signing will receive $5,000 the earlier of 1/1/2017, retirement date or date he/she upgrades. Top of Pay Scale Cap and Grandfathering Captain Pilots who upgrade to Captain on or after 1/1/2016 or are a Captain on any longevity pay step between steps 1 and 11 as of 1/1/2016 will be capped at longevity pay step 12 on the Captain pay scale. Pilots who are a Captain on longevity pay step 12 or higher as of 1/1/2016 will either be frozen at their current longevity pay step or eligible to continue to move up the Captain pay scale as determined annually based on the number of pilots who flow through to AA each year. If Envoy fails to flow 220 pilots to American Airlines in a given calendar year, Captains at longevity pay step 12 and higher will move to their next longevity pay step on their anniversary date. Effective with the delivery of the 1st EMB-175, Captains who are on pay step 15 or higher will not be subject to the caps mentioned above. First Officers Pilots on Envoy master seniority list on date of signing will continue to move up the First Officer pay scale beyond pay step 4 unless he/she declines an upgrade to Captain in his own base.

SECTION 5 EXPENSES AWAY FROM DOMICILE Effective 1/1/2015 Section 5.B.1. will be replaced with the following schedule. 1/1/2015 – $1.85 1/1/2018 – $1.90 1/1/2021 – $1.95 1/1/2024 – $2.00 SECTION 8 PERSONAL TIME OFF (PTO) SICK & VACATION Effective 1/1/2016, a new Section 8 and Section 9 will be added to the CBA. Effective with the delivery of the first EMB-175, a pilot who has accrued credit in his Supplemental Sick Leave Bank will be frozen. SECTION 11 SCHEDULING Section 11.T.5. A pilot who misses a trip or a portion of a trip and meets the criteria of Section 11.T.1 may, at his option, use a Personal Vacation Day (PVD) for a full or partial day of missed flying and up to one touching leg the following day. SECTION 17 TRAINING The initial cadre of pilots trained and qualified on the E175 may return to the equipment and seat they held immediately prior to entering E175 training once such training is completed. Such return will be a non- jeopardy training event for the initial cadre of pilots.

SECTION 29 GENERAL Effective 1/1/2016, Section 29.P.3.b. will be deemed null and void and eliminated. Pilot, at his option will be paid from his sick bank the value of the flying from which he was removed. SECTION 28 RETIREMENT AND INSURANCE The following table will be added to Section 28.A.3.b. setting forth the increased employee contributions rates. 1/1/2016 – 31% 1/1/2017 – 32% 1/1/2018 – 33% 1/1/2019 – 34% 1/1/2020 – 35% SECTION 30 DURATION Section 30 in the 2013 CBA will be deemed null and void and eliminated from the CBA. 10 years duration Limited re-opener in October 2020 of up to 5 issues submitted by each side. The sum of known cost of the changes with respect to the issues submitted to arbitration will be cost neutral. LOA 13-04 PREFERENTIAL BIDDING SYSTEM (PBS) The provisions of Letter 13-04 will be deemed suspended until delivery of the 41st EMB-175. LOA 13-05 PROFIT SHARING PLAN Letter 13-05 shall be deemed null and void and eliminated in its entirety from the CBA on date of signing. Profit sharing payments, if any, due to pilots under the provisions of Letter 13-05 for calendar 2014 shall be paid in full out in March 2015 in accordance with the provisions of Letter 13-05.

FLOW THROUGH 824 Flow Through Envoy will occupy the lesser of 50% or 20 slots in a given month at American Airline new hire classes. Effective with the delivery of the 1st EMB-175 aircraft Envoy Pilots will occupy the lesser of 50% or 30 slots in a given month at American Airline new hire classes. Protected Pilots Envoy Pilots will occupy the lesser of 35% or 25 slots in a given month at American Airline new hire classes. Effective with the delivery of the 40th EMB-175 aircraft Envoy pilots will occupy the lesser of 50% or 30 slots in a given month at American Airline new hire classes. Pilots Hired After 10/11/2011 Envoy Pilots will occupy the lesser of 35% or 15 slots in a given month at American Airline new hire classes. Pilots Hired After DOS Envoy Pilots will occupy the lesser of 25% or 5 slots in a given month at American Airline new hire classes. The base number of 5 will be increased by 1 for every 125 pilots on the master seniority list above 480. Flow Misc. If AA is not hiring pilots, there shall be no flow of pilots from Envoy under any of the above provisions. Pilots shall be selected in seniority order for all flow through opportunities described below. No interview is required for an Envoy pilot to flow through to AA, but there is no right to return to Envoy if a pilot fails to qualify at AA. Envoy, at its sole discretion, may waive the limitations on the maximum number of pilots that are allowed to flow through to AA each month. Pilots hired by Envoy after October 11, 2011 with an active Performance Advisory or Attendance Control Policy Advisory are not eligible for flow through. Such a pilot may elect to have pending grievance of an active advisory resolved under expedited procedures. FLEET COMMITMENT 40 EMB-175 scheduled to be delivered on a rolling basis between
