i like your analysis , but disagree about F9 vote .. I think the big shareholders probably told F9 that If they offer X amount then it’ll be enough to get the deal across the finish line.. in dollar terms it’s not equal as B6. However having equity in a Future company IS worth something… the new ULCC would only need to be about $15/share to make this deal even.. nobody will convince me a future combined company can’t reach or far exceed $15 a share .. the breakup fee and risk is now even.. they could have completely matched JetBlues offer but i suspect they upped it to $4 plus equity because that’s what gets the deal across the finish line .
i do agree with you that JetBlue has a hill to climb to get 51% shares by shareholders tendering their shares. JetBlue would not Keep upping their offer if they were comfortable they had the 51% in the bag.. it’s all going to come down to the up or down vote June 30.
and people talking about lawsuits. I don’t quite get that .. the BOD is not the decider at this point The shareholders are. Not sure how shareholders can sue because they didn’t get the outcome they wanted. The majority wins. And the majority has its say next week .. one way or the other
