I could be wrong, but the "rules" (policy manual) can be "suspended" with a ⅔ vote in many parliamentary governance structures. It wouldn't surprise me if the Fed ex alpa policy manual permitted this. If so, the policy manual would not appear to have been violated.
That means they would need 8 votes. Out of the 12 total. Pretty sure they only had seven that would play ball.
There are several times in the policy manual that the ⅔ vote is mentioned as an override like you mentioned.
