Have you looked at the financials? There is absolutely no way this could be construed as anything other than an acquisition, by any definition other than maybe your own (or possibly NALPA's). I understand if your ego is slightly soothed by convincing yourself you're "merging" instead of being "bought out." Denial is not just a river in Egypt...
