Exactly. The validity and usefulness of the BOD is at stake. If the BOD just automatically passes Parker's offer there is no reason for Parker/Glass to ever offer better than their lowest offer. No reason for the BOD to exist at all.
Parker is offering us $1B instead of going to arbitration. I ain't as smart as Forrest Gump, but it appears that Parker/Glass calculators show most money from the current offer rather than arbitration.
The BOD has to counter the current offer to explore Parker/Glass calculations. Break out the cowbell. Explore the space. By the time this is over we will be "wearing gold plated diapers", unless we fold now.
