Or correct me if I am wrong; you could just put both companies on the registration and not have to worry about any the above mentioned.

If you set it up so that each company owns an equal share of the airplane it is perfectly legal under part 91. If each company is not sharing the cost of the airplane (initial purchase, maintenance, etc) then you may be pushing it into part 135.
