Ted won’t allow the vote unless he is sure the institutional investors he needs are in his pocket, or there is some sort of court injunction that requires it. They won’t roll the dice based on who gets the best 11th hour deal.

I wouldn't imagine that would make the institutional shareholders happy as they would probably want time for both sides to give their best offer as that is how the shareholders get the most value for their stock. However our board seems pretty hell bent on getting sued so there's that...
