Yes... ATC can authorize flight without a working transponder. If it failed in-flight I'm sure they would do it right then. Otherwise, you can call up the approach control and get phone authorization to do it. They will track you on radar as a primary target and have you report your altitude.

I feel fairly certain the regs used to say within the lateral boundaries. However, the current ones do not say that, so I'm going with Mode C in and above B, and within 30nm of the primary airport.

It was already mentioned. If it was below class B as well, then there is no need for the veil. I realize class B extends pass the veil. But we already know that IN and ABOVE B require mode C, so if it was also below B then the veil is useless. The reg should then just say: In Class B and within the lateral boundaries (above and below).

Not necessarily. There are PLENTY of examples of the veil extending outside the Class B and the B extending outside the veil. Just from a practical standpoint, they want everyone within 30 NM, to have a transponder and everyone within or above. Who cares about lil mr cessna 40 nm away below the Bravo. He's not in anyone's way.

Ok true, I thought we were using an example of the B extending past the veil. Yes of course if the B is inside the veil then the veil matters. Also for those within 30 miles AND under B.

The reason it is within the lateral limits is that if you do not have it on, how do they know you are not in the class B or C (they have not altitude readout).

Don't make this so confusing. Either or both, doesn't matter.

Mode C requirements have NOTHING to do with lateral limits. I can spend all day with no transponder underneath the Class B or C as long as I don't meet another requirement.

You guys are making this way too difficult. Do you meet one of the 3 times that mode C is required? Then you need mode C. If you don't, you don't.
