Yes... ATC can authorize flight without a working transponder. If it failed in-flight I'm sure they would do it right then. Otherwise, you can call up the approach control and get phone authorization to do it. They will track you on radar as a primary target and have you report your altitude.

It was already mentioned. If it was below class B as well, then there is no need for the veil. I realize class B extends pass the veil. But we already know that IN and ABOVE B require mode C, so if it was also below B then the veil is useless. The reg should then just say: In Class B and within the lateral boundaries (above and below).

Don't make this so confusing. Either or both, doesn't matter.
Mode C requirements have NOTHING to do with lateral limits. I can spend all day with no transponder underneath the Class B or C as long as I don't meet another requirement.
You guys are making this way too difficult. Do you meet one of the 3 times that mode C is required? Then you need mode C. If you don't, you don't.
