If they exit the F9 agreement or change their recommendation on the vote they are on the hook for the $94mil fee to F9. Assuming no new developments, allowing the vote to happen and fail allows them out of the agreement without paying the fee. One might assume $94mil could cover a fair amount of executive severance packages. NK has been eerily silent if they really wanted to see the vote pass at this point. You’d think they would be all over the place making press releases and media appearances. Surely they can’t believe another last minute increased offer by F9 is going to work, or go unchallenged by B6.

So based on what's been said, and not said, by all parties, I think there's better than a 50% chance the vote is allowed to happen, or if F9 requests another delay NK may just pull out of the agreement (with JB's blessing) and pay the fee (because they may have a letter of agreement with JB).

The vote will continue to be delayed until the shareholders see the true synergies with a Frontier merger. This is how democracy is supposed to work, if you don’t like the results just delay the vote
