At this point, I would like for Jetblue to just go away and leave us alone.
Spirit board already explained the two step process to consider a deal as superior:
1. It has to be viable
2. It has to have better terms
Still can't get past #1 and even doubling the cash offer or breakup fee would not do anything to change it.
Is Robyn offering to give up the NEA yet?

1) there is no regulatory risk to creating the 5th largest company in a sector.
2) the terms are 40% better
3) why would they offer to give up the NEA and pre negotiate with the DOJ. That’s stupid.
350 million break ups pretty much guarantees they will do what’s necessary to make it through.
Why would the spirit board ask for the NEA concession other than just postering for an excuse to save their jobs.

Spirit board hired advisors (obviously) on the DOJ part of this puzzle, lead by a former Deputy Attorney General in charge of the antitrust division. The board was advised that the JetBlue offer would never be approved. What is the NK board supposed to do? Ignore that advice and pursue the transaction anyways?
The whole thing is a mirage. Not sure what is worse if JB is delusional or doing this on purpose to break up the Spirit/Frontier merger, as they have been accused by Spirit.

You can read his comment as, “I think I’m going to lose some seniority so I just want it to go away”. Smaller carriers usually do better under Alpa merger policy.

So what about the viability of these hypotheticals
…a stand alone Spirit?
…a stand alone Frontier post B6 - NK acquisition?
…JetBlue acquiring Frontier?
Personally I think Frontier in a post B6 - NK acquisition would do quite well filling the vacuum.

--> which would prove it's an agreement that boosts competition, so no prob with that when going for B6NK.
or Lose
--> NEA goes away and no prob with that when going for B6NK.
That would be squashed way before JB goes to DOJ for B6NK. They can't block it for a reason that is already litigated.
TedTalk on NEA is just to try to justify not taking the deal.

A company securing billions in financing and offering to buy another company(with a massive reversal fee) all in hopes that nothing ever happens?
Two options from that,
1) ooops we won and accidentally spent 4 billion?
2) We won, broke up the merger, lost DOJ and spent 350 million to do it? Oh and now nk/f9 can just merge anyways.
Come on man. Does that make any sense at all?
